1. Basis of the agreement

These business terms (hereafter “the Terms”) of WalletPlus ApS, CVR 34703213 (hereafter “WalletPlus”), apply to the sale and supply of all WalletPlus' products and services relating to the digital platform for webshop, online ordering, loyalty club, marketing, data and integrations developed by WalletPlus (hereafter “the Platform”), unless the Terms have been expressly departed from or amended by another written agreement between the parties.

The Platform is supplied as modules adapted to each industry, including restaurants, florists, kiosks and petrol stations, as well as chains and networks. All modules are built on the same Platform and are covered by the same Terms.

The Terms form an integral part of, and an appendix to, the cooperation agreement entered into between WalletPlus and the customer (hereafter “the Cooperation Agreement”). In the Terms the customer is referred to as “the Partner”. In cooperation agreements and earlier versions of the Terms the Partner may be referred to as “the Restaurant Partner”. The two terms mean the same.

WalletPlus makes the Platform available to the Partner as a technological tool for online sales and ordering. WalletPlus is not a commercial agent for the Partner. Payments from customers are made directly to the Partner's own payment account via Stripe Connect, and WalletPlus does not receive payment on the Partner's behalf.

During the term of the Cooperation Agreement the Partner may not use competing webshop or ordering platforms supplied by WalletPlus' direct competitors for the same business(es), unless otherwise agreed in writing.

2. WalletPlus' services

For the term of the Cooperation Agreement, WalletPlus grants the Partner a non-exclusive right of use to the Platform, subject to the Partner's acceptance of the terms and prices specified in the Cooperation Agreement.

The Partner acknowledges and accepts that it is the Partner's sole responsibility to investigate and assess whether the Platform can be implemented and work together with the Partner's own IT systems.

In addition to the software solution itself, WalletPlus' services include hosting, operation, maintenance, updating and support of the Platform for the term of the Cooperation Agreement.

Integrations with the Partner's own systems, such as a POS system, ERP or product catalogue, and special adaptations of the Platform are carried out by separate agreement. Scope, timetable and price are set out in the Cooperation Agreement or in a separate quote. The rights to integrations and adaptations developed by WalletPlus belong to WalletPlus, cf. § 11, unless otherwise agreed.

At the start of the Cooperation Agreement, WalletPlus provides a thorough walkthrough of and introduction to the system. Should further introduction be required during the term of the cooperation, the parties shall agree specific terms for this.

WalletPlus generally reserves the right to errors and changes in information about the Platform, products and services. Illustrations and descriptions in sales material are not to be regarded as warranted characteristics.

3. Development and modification of the Platform

WalletPlus reserves the right, but is under no obligation, after the conclusion of the Cooperation Agreement and without prior notice, to modify and develop its services and products, including their functionality, in a manner WalletPlus deems appropriate or necessary.

If WalletPlus implements changes during the term of the Cooperation Agreement, this entitles the Partner to terminate the Cooperation Agreement only if the Partner can prove that the change materially impairs the usability of the Platform. If the Cooperation Agreement is terminated pursuant to this provision, the Partner is not entitled to damages.

4. Delivery to the customer

Delivery to the Partner's customers is not a service provided by WalletPlus. The Partner may deliver itself or, by its own agreement with a delivery partner, connect delivery to the Platform.

WalletPlus is not a direct or indirect party to the agreement between the Partner and the delivery partner, and all matters concerning delivery are of no concern to WalletPlus.

WalletPlus is in no event liable in damages for matters relating to the delivery partner's service.

5. Prices

The price of WalletPlus' services is based on revenue. No licence or setup fee is payable unless otherwise agreed. The specific price for the Partner is set out in the Cooperation Agreement. A special price may be agreed for chains and networks, and integrations and special adaptations are priced per job, cf. § 2.

Unless otherwise agreed in the Cooperation Agreement, the standard rates below apply. Prices for equipment, SMS, table booking and marketing are stated excl. VAT and duties, which are added in accordance with the applicable rules. The transaction fee, payout service fee and card surcharge are stated as final amounts, and no VAT is added.

The transaction fee is calculated as a percentage of the order amount plus a fixed amount per order. The standard rate is 1.95 % + 0.79 kr. per transaction (incl. Stripe).

WalletPlus also charges a payout service fee of 10.00 kr. + 0.25 % per payout from the Partner's Stripe account to the Partner's bank account. Payouts are made automatically every banking day, cf. § 7, and the fee is therefore charged per payout and not per order. On a weekly or paused payout plan the fee is 30.00 kr. + 0.25 % per payout. The stated fee is final; no VAT is added. The payout service fee takes effect on September 1, 2026 and has been notified under § 6.

WalletPlus also charges a card surcharge when an order is paid with certain more expensive card types: corporate cards issued in Denmark/the EEA (+2.40 % + 1.80 kr. per order), cards issued in the United Kingdom (+2.55 % + 1.80 kr.), American Express issued in Denmark/the EEA/the United Kingdom (+2.55 % + 1.80 kr.), cards issued outside the EEA (+3.30 % + 1.80 kr.) and American Express issued outside the EEA/the United Kingdom (+3.30 % + 1.80 kr.). Ordinary Danish and European Visa/Mastercard consumer cards are never surcharged. The surcharge is added on top of the transaction fee and is charged together with the other fees. The stated rates are final; no VAT is added. The card surcharge applies from September 1, 2026.

If the Partner uses table booking via the website, WalletPlus charges 5.00 kr. excl. VAT per booking received. The fee accrues when the booking is received, even if the Partner subsequently declines it. Repeated identical bookings from the same guest within 24 hours count as one. The fee is collected together with the Partner's other fees.

WalletPlus may charge a service fee to the end customer at the time of ordering. The service fee is configured in the Partner's admin panel and carries no cost for the Partner.

If the Partner has a package or a tailored price under § 19, the rates in § 19 and the Partner's price agreement apply instead of the standard transaction fee above. For all other Partners, the prices in this section and in the cooperation agreement entered into remain unchanged.

6. Changes to prices and terms

WalletPlus reserves the right, on 30 days' notice to the end of a month, to change these Terms and the agreed prices. Notice of changes to terms and prices is given to the email address provided by the Partner.

If the Partner cannot accept changes to terms and prices, the Partner may terminate the Cooperation Agreement, cf. § 18 and the terms for this set out in the Cooperation Agreement.

7. Payment and payout

The Partner's revenue from online orders is handled via Stripe Connect. Payment from customers goes directly to the Partner's Stripe account. WalletPlus does not receive payment on the Partner's behalf.

Payout from Stripe to the Partner's bank account is made daily and automatically. WalletPlus' transaction fee is deducted automatically on each transaction via Stripe.

The payout service fee, cf. § 5, is calculated per payout as 10.00 kr. + 0.25 % of the payout amount; on a weekly or paused payout plan the fee is 30.00 kr. + 0.25 % per payout. This is WalletPlus' own fee and not a third-party bank or Stripe fee. The fee is not deducted from the payout itself: the payout amount is transferred in full to the Partner's bank account, while the fee is booked on an ongoing basis to the Partner's fee account with WalletPlus and charged together with the Partner's other fees via the Partner's Stripe balance. As Stripe pays out automatically every banking day, the fee will typically accrue once per day with sales.

It is at all times the Partner's responsibility to ensure that correct bank details are registered with Stripe so that payouts can be made correctly.

All bank fees and Stripe fees arising from transactions and transfers are borne by the Partner as set out in the Cooperation Agreement and in these Terms.

WalletPlus is entitled to set off all amounts owed to it by the Partner by giving an itemised set-off notice by email.

If a cardholder disputes a payment (a chargeback), the acquirer withholds the disputed amount until the case is resolved. WalletPlus notifies the Partner and handles the case with the acquirer. The Partner must assist by providing the documentation WalletPlus requests, including receipt, order slip and confirmation of delivery or pickup. The documentation must reach WalletPlus no later than 3 calendar days before the deadline set by the acquirer.

If the case is lost, the Partner is liable for the disputed amount regardless of whether the order has already been paid out, and WalletPlus also charges a case fee of 200.00 kr. per case. The amounts are final, and no VAT is added. If the case is won, the amount is released and no case fee is charged.

The Partner is not liable for a dispute caused solely by circumstances at WalletPlus or WalletPlus' payment provider, including technical errors in the ordering or payment flow.

8. Equipment (rental and loan)

Rented equipment and equipment supplied free of charge (for instance tablets and receipt printers) remains the property of WalletPlus and must be returned in its original condition when the agreement ends.

Equipment rental runs month to month with no minimum term and may be terminated on 1 month's notice to the end of a month.

If the equipment is not returned within 14 days of the end of the agreement, or if payment of the rent is defaulted on, WalletPlus is entitled to charge the purchase price of the equipment plus a fee of DKK 1,000 excl. VAT.

9. The Partner's responsibility

WalletPlus is not responsible for the Partner's or its customers' use of the Platform, or for whether the Partner achieves the results expected from it.

The Partner is solely responsible for the data it uses, including as data controller for compliance with data protection legislation, and for ensuring that use of the Platform does not infringe the rights of third parties.

The Partner sets its own prices and terms for its products and services and is solely responsible towards the customer for defects and deficiencies in the Partner's products. WalletPlus merely conveys the Partner's prices and terms to the customer.

10. Defects

If the Partner finds that the Platform does not live up to the promised functionality or suffers from material defects, the Partner must complain in writing without delay.

If WalletPlus cannot remedy the defects identified within 30 days of the written complaint, the Partner is entitled, for a period of 7 days thereafter, to terminate the agreement with effect from the time of the complaint.

Apart from the above right of termination, the Partner has no other remedies in respect of defects. WalletPlus disclaims liability for any direct or indirect loss.

11. Intellectual property rights

The Partner acknowledges and accepts that WalletPlus owns all rights to the software used and other intellectual property rights. This agreement does not entail a transfer of such rights, but only a limited, non-exclusive, non-transferable, revocable right of use.

The Partner confirms that it owns or holds the necessary licence to all intellectual property rights it uses, including name, logo, product range and menu, and grants WalletPlus the right to use these for the term of the Cooperation Agreement.

The Partner retains full ownership of its own content (product range and menu, images and company data).

12. Limitation of liability

Regardless of basis or degree of negligence, WalletPlus is not liable for direct or indirect loss or consequential damage, including operating loss, loss of profit, loss of data, loss of goodwill and the like.

WalletPlus' liability is limited in amount to what the Partner has actually paid for the service in question, and in any event to no more than the last 6 months' fees.

WalletPlus cannot be held liable for lost revenue as a result of any downtime on the Platform. If the Platform is down for more than 3 days after a written complaint, the Partner may terminate the agreement without notice.

13. Force majeure

WalletPlus is not liable where the following circumstances arise after conclusion of the agreement and prevent or delay performance: war, riot, acts of terrorism, natural disasters, strikes, shortage of goods, defects in deliveries from subcontractors, internet outages, fire, epidemics or pandemics, computer viruses, power cuts or other circumstances not directly within WalletPlus' control.

In such cases WalletPlus is entitled to postpone delivery until the impediment has ceased, or alternatively to withdraw from the agreement without liability.

14. Confidentiality

The parties undertake, without time limit, to keep confidential from unauthorised third parties all matters that one party has learned about the other party or its business in connection with the cooperation.

The terms, prices and conditions of the Cooperation Agreement are confidential and may not be disclosed to third parties.

15. Processing of personal data

Neither WalletPlus nor the Partner will under any circumstances disclose customer information to third parties, unless authorised by these Terms or required to do so by law.

The parties agree that they are joint data controllers for the processing of customers' personal data entailed by the Platform.

Each party must comply with data protection legislation in force from time to time, including the General Data Protection Regulation (GDPR) and the Danish Data Protection Act, and must implement appropriate security measures on an ongoing basis.

16. Governing law and venue

Any dispute between WalletPlus and the Partner shall be decided under Danish law, excluding the CISG and rules of private international law.

The dispute shall be settled by the Danish courts.

If any part of these Terms is held to be unlawful and invalid, this does not affect the validity of the remainder of the Terms.

17. Chains and networks

If the Cooperation Agreement is entered into with a chain, a franchisor or a network of independent businesses (hereafter “the Chain”), the Terms apply both to the Chain and to each business connected to the agreement. The Cooperation Agreement states which businesses are covered and how new businesses are connected.

Each connected business has its own payment account via Stripe Connect and is itself liable for its fees, unless otherwise agreed in the Cooperation Agreement.

The Chain may centrally manage the product range, prices, offers and design for the connected businesses. The Chain's administrators may have access to revenue and order data for the connected businesses to the extent stated in the Cooperation Agreement. The Chain and each business are individually responsible for ensuring that their use of data complies with data protection legislation.

A special price for the Chain, any pilot period and the terms for rolling out to more businesses are agreed in the Cooperation Agreement.

18. Term and termination

Unless otherwise agreed, the Cooperation Agreement runs indefinitely and may be terminated in writing by either party on 1 month's notice to the end of a month (the current month plus 1 month).

Integrations, special adaptations and chain agreements may have separate terms for term and termination, which in that case are set out in the Cooperation Agreement or the quote.

When the agreement ends, the Partner can have its customer data handed over, and a domain registered in the Partner's name remains the Partner's.

19. Packages and subscription

This section applies to Partners who enter into a cooperation agreement with WalletPlus after this section has been published, and to existing Partners who actively accept a package or a tailored price, for example through a new cooperation agreement or in the app. For all other Partners, § 5 and the cooperation agreement entered into remain unchanged, and nothing in this section changes their prices or terms.

Entry: no monthly price. The transaction fee is 5.00 % + 3.00 DKK per order for all payment methods, including card, MobilePay and cash. New Partners start on Entry.

Partner: 299.00 DKK per month excl. VAT (373.75 DKK incl. VAT). The transaction fee is 2.95 % + 1.00 DKK per order for all payment methods. Each paid month includes 100 campaign text messages, 500 campaign emails and 2 social media posts. Unused units expire at the end of the month and cannot be carried over.

Tailored: WalletPlus can agree a monthly price, a separate rate for card, MobilePay and cash, a fixed amount per order and included campaign text messages, campaign emails and posts. The tailored price is stated in the cooperation agreement and is accepted by signing it.

The monthly price is paid in advance. It is charged at the start and then every month on the start date, first to the Partner's registered payment card and otherwise from the Partner's Stripe balance. If the first charge fails, the package does not start. If no payment card is registered, Entry applies until the card is added; the first month is then charged and the package takes effect. WalletPlus can grant up to 3 free months, counted from the start. A payment card must also be registered during the free period. WalletPlus issues an invoice for each paid month in the app and by email.

If a monthly payment fails, the package rates continue to apply, and WalletPlus retries daily and immediately when the payment card is updated. The Partner is notified by email and in the app. If the payment has not gone through after 7 days, the Partner moves to Entry, MobilePay is switched off, and the unpaid month is waived. The Partner can return to the package by fixing the payment card.

There is no lock-in on a package. The Partner can cancel the package in the app with effect from the end of the paid period, after which Entry applies. Termination of the cooperation agreement itself follows § 18.

Marketing through the platform is settled per campaign according to the Partner's choice. With commission, the Partner pays 10 % plus VAT of the entire order including delivery for sales made within 7 days after a click on a link in the campaign, plus 0.60 DKK per text message and 0.25 DKK per email; social media posts have no unit price. With a fixed price, the Partner pays 3.00 DKK per text message, 1.00 DKK per email and 50.00 DKK per post and no commission. Automatic campaigns are settled with commission. Order emails, such as order confirmations, are free. Unit prices are excl. VAT, and units included in the Partner's package are used first. For Partners covered by this section, this settlement replaces the former marketing help with a surcharge in percentage points.

MobilePay can be added for 69.00 DKK per month and 1.00 DKK per payment, both excl. VAT. The MobilePay subscription is paid under the same rules as the monthly price above.

Monthly price, MobilePay and marketing are stated excl. VAT. For the transaction fee, § 5 applies. WalletPlus may change the package prices under § 6. A change applies to agreements entered into after the change, and to existing agreements only after notice under § 6.
